FUERTIA · Legal

Business Terms

Key points (plain language). (1) FUERTIA is a marketplace, a contract and payment record, and, for card Missions, the Earner's limited payment-collection agent. FUERTIA is not your contractor and does not perform Missions. (2) You describe the result you want. The Earner decides how to do the work. (3) You pay FUERTIA a flat $24 per Earner per Mission, and nothing else: no subscriptions and no surcharges. If no Earner comes, you pay no fee. (4) You keep your site safe, and you never ask an Earner to operate your forklifts, vehicles or other powered equipment. (5) You carry general liability insurance. You may post 3 Missions on your written confirmation before you upload a certificate. (6) Disputes with FUERTIA go to individual arbitration unless you opt out within 30 days (Section 19).

These Business Terms (this "Agreement") are between getrobur LLC, a Delaware limited liability company doing business as FUERTIA ("FUERTIA", "we", "us"), and the business, organization or individual that accepts them in the FUERTIA app ("you" or the "Business"). This Agreement takes effect when your Owner accepts it (the "Effective Date").

1. What this Agreement covers

1.1 FUERTIA operates an online marketplace (the "App", including getrobur.com) where Businesses post short, self-contained tasks and independent contractors ("Earners") choose whether to request them. FUERTIA also keeps the contract and payment record. For Card Missions, FUERTIA collects payment on each Earner's behalf as that Earner's limited payment-collection agent (Section 9).

1.2 FUERTIA does not perform Missions, does not supply workers, and does not choose, supervise or direct Earners. FUERTIA is not a staffing, temporary-help or employment agency, and FUERTIA is not the employer of any Earner. When an Earner performs a Mission for you, you contract directly with that Earner through the Mission Contract. FUERTIA is not a party to the Mission Contract's performance obligations.

1.3 This Agreement governs your relationship with FUERTIA and your use of the App as a Business. Each Mission Contract governs that Mission between you and the Earner. FUERTIA's Privacy Policy explains how FUERTIA handles personal information.

2. Definitions

The capitalized terms below have the same meaning as in the FUERTIA Earner Agreement (FUERTIA-ICA-2026.10-REV6).

  • "Business": a company, organization or individual with a FUERTIA business account that posts Missions. A Business account has one Owner, who posts, pays and signs. It may also have Requesters, who can suggest Missions to the Owner but cannot post, pay or sign (Section 3).
  • "Earner": an individual independent contractor with a verified FUERTIA Earner account.
  • "Mission": a short, self-contained task posted by a Business with a structured brief (the "Mission Brief"). The brief covers the task, the "done when" criteria, site, on-site contact, arrival notes, what to wear and physical demands. A Mission must start within 4 hours after it is posted and lasts no more than 4 hours. Longer work requires a separate Mission.
  • "Mission Window": the start time and maximum duration stated in the Mission Contract.
  • "Mission Contract": the per-Mission contract between you and the Earner, generated in the App, which both of you sign.
  • "Payout": the fixed base amount you agree to pay the Earner for a Mission.
  • "Rush Bonus": an optional extra amount you set. It is paid to the Earner only if the Earner checks in by the time stated in the Mission Contract.
  • "Ride Credit": an optional flat amount you set, paid to the Earner when the Earner checks in.
  • "Card Mission": a Mission you pay by card through FUERTIA. "Cash Mission": a Mission you pay the Earner directly in cash at the site.
  • "FUERTIA Fee": FUERTIA's fee for each Earner on each Mission, paid only by you (Section 8).
  • "Payment Partner": Stripe, Inc. and its affiliates (Stripe Connect), or any successor payment processor FUERTIA names in the App.
  • "Check-in" and "Check-out": the App steps at which the Earner confirms arrival at, and departure from, the site.
  • "Arrived": an Earner has Arrived for a Mission if the Earner checked in, or you confirmed in the App that the Earner came, or FUERTIA support determines from the Mission record that the Earner came.
  • "Card on File": the payment card your Owner saves in the App for FUERTIA Fees, cancellation amounts and other amounts under this Agreement.
  • "COI": a certificate of insurance showing the coverage required by Section 15.
  • "Fee Credit": a credit that can be applied only against FUERTIA Fees (Section 13).
  • In Section 19, "where you live" and "the county where you live" mean, for a Business that is not an individual, the county of your principal place of business in the United States.

3. Your account, the Owner and Requesters

3.1 Eligibility. You must be a business, organization or individual acting for business purposes. Your Owner must be at least 18 years old. You will give FUERTIA accurate information, including your legal name, EIN (or, for a sole proprietor without an EIN, a taxpayer identification number), business address and the site address of each Mission, and you will keep it current. FUERTIA may verify your business identity through third-party providers and may decline or close an account that cannot be verified.

3.2 The Owner binds the Business. Only the Owner can accept this Agreement, post Missions, confirm Earners, sign Mission Contracts, add or change the Card on File, approve payments and accept changes to this Agreement. The person who accepts this Agreement as Owner represents that they have authority to bind the Business named in the account. Each time the Owner signs a Mission Contract, the Owner confirms that authority in the App.

3.3 Requesters cannot bind the Business. The Owner may invite Requesters. A Requester can draft a Mission request and send it to the Owner. A Requester cannot post a Mission, confirm an Earner, sign any document, pay, or change any account or payment setting, and nothing a Requester does binds the Business or FUERTIA. The Owner is responsible for choosing Requesters, for removing them when appropriate, and for their compliance with Sections 5, 6, 7 and 16 when they are at the site or in contact with an Earner.

3.4 Security. Keep your login secure and do not share it. You are responsible for activity under your Owner login. Tell FUERTIA immediately at office@getrobur.com if you believe someone has accessed your account.

3.5 Changing the Owner. To transfer the Owner role, the current Owner must request it in the App or by email, and the new Owner must accept this Agreement. If the current Owner is unavailable, FUERTIA may require reasonable proof of authority from the Business before making the change.

4. Posting Missions

4.1 Through the App only. You will post every Mission, and confirm every Earner, through the App. FUERTIA support does not take Mission requests by phone, text or messaging apps. Work you arrange with anyone outside the App is not a Mission. FUERTIA has no role in it, and this Agreement does not apply to it.

4.2 The Mission Brief. Each Mission Brief must be accurate and complete. It must state: (a) the task and the result you want, stated as "done when" criteria; (b) the site address in Texas and an on-site contact; (c) arrival and access notes; (d) what to wear, limited to what safety, hygiene or site access requires; (e) the physical demands, including lifting weights, heat or cold exposure, standing time and any heights or stairs; (f) any license or certificate the law requires for the task (for example, a Texas Food Handler card or a TABC seller-server certificate); and (g) every known hazard at the site that is relevant to the task.

4.3 Timing. A Mission must start within 4 hours after it is posted and lasts no more than 4 hours. You will not divide one larger project into a chain of Missions to avoid this limit, and you will not ask an Earner to keep working past the Mission Window. If more work is needed, you may post a new Mission, which the Earner may request or not.

4.4 Texas only. A Mission must be performed in Texas. The App accepts only Texas site addresses.

4.5 Checklists. Checklist items must describe results that can be checked at the end ("all boxes on pallets", "floor dry and clear"), not steps or methods ("lift with your knees", "start in aisle 3"). FUERTIA may edit or reject checklist items that describe methods.

4.6 Choosing an Earner. You choose which requesting Earner to confirm. You will not refuse, select or rate an Earner based on race, color, religion, sex (including pregnancy, sexual orientation and gender identity), national origin, age, disability, genetic information or any other characteristic protected by applicable law.

4.7 Frozen terms and re-signing. The App records the signed terms of each Mission Contract with a SHA-256 fingerprint. If the Payout, FUERTIA Fee, payment method, time, place or extras change after signing, both you and the Earner must sign again before the change takes effect. Without that, the change has no effect, and the Earner may withdraw at no cost. For a repeat Mission on identical terms, the App may pre-fill your prior signature, but the Mission Contract binds you only after the Owner reviews it and taps Sign.

5. Results, not methods: no control of the means or manner of work

5.1 The Earner is an independent contractor. Each Earner is an independent business. The Earner is not your employee, and is not FUERTIA's employee. You may describe the result you want, the site, the Mission Window, and the site's safety and access rules. The Earner decides the method, sequence and pace of the work, and whether to use the Earner's own tools.

5.2 Prohibited conduct. You, your Requesters and your personnel will not:

  • (a) supervise or direct how the Earner performs the work, or give step-by-step instructions beyond the Mission Brief, other than site safety and access rules and a request to stop an unsafe act;
  • (b) require training, orientation (other than a short site safety and access briefing), meetings, handbooks, tests or certifications that the law does not require for the task;
  • (c) set hours, breaks or a start or finish time other than the Mission Window, or ask the Earner to arrive earlier or stay later than the Mission Window;
  • (d) impose any penalty, deduction or fine, including for lateness. A Rush Bonus is the only timing incentive, and it is optional;
  • (e) evaluate, discipline or give performance reviews to the Earner, other than the App's rating and dispute tools;
  • (f) require a uniform, badge or name tag that presents the Earner as your personnel. You may require safety gear and site-required clothing stated in the Mission Brief, and a visitor badge for site access;
  • (g) ask the Earner to perform any task outside the Mission Brief, or to perform an additional or longer task off the App;
  • (h) require exclusivity, or restrict the Earner from working for anyone else, including your competitors;
  • (i) ask the Earner to recruit, bring or supervise other people;
  • (j) ask the Earner to operate any equipment prohibited by Section 6;
  • (k) ask the Earner for personal information that the App does not require, or for payment, deposits or fees of any kind;
  • (l) pay or ask to pay the Payout of a Card Mission outside the App, or pay less than the Mission Contract amount on a Cash Mission;
  • (m) harass, threaten, demean or discriminate against an Earner, or retaliate against an Earner who refuses or stops work under Section 7.4 or who opens a dispute; or
  • (n) represent to anyone that the Earner is your employee or FUERTIA's employee.
  • (o) ask or pressure an Earner to share their location, or treat an Earner differently because they did or did not use the optional "Share where I am until I arrive" feature.

5.3 Ratings. Ratings are double-blind: they are revealed when both sides have rated, or after 7 days. Rate the result, not the person. Ratings do not automatically suspend or deactivate any Earner, and you may not use ratings as a disciplinary tool.

5.4 Reporting. If an Earner's conduct raises a concern, report it in the App. FUERTIA reviews reports under the process in the Earner Agreement. You will not take matters into your own hands beyond asking the Earner to leave the site and calling 911 in an emergency.

6. Prohibited Missions and prohibited equipment

6.1 No powered equipment, ever. You will not post a Mission that requires, and you will not ask or allow an Earner to operate, any of the following that you own, lease, rent or control: (a) a powered industrial truck, including a forklift, motorized pallet jack, order picker, reach truck or similar machine; (b) any motor vehicle, including a car, van, truck, golf cart or utility vehicle; or (c) any other powered equipment or machinery, including scissor lifts, aerial lifts, floor scrubbers, saws, compactors and balers. This applies even if the Earner says they are trained or certified. This includes powered equipment of the kind regulated by OSHA standard 29 C.F.R. §1910.178. Hand-held tools that the Earner brings and chooses to use, and ordinary non-powered site items (such as carts, hand trucks, dollies, brooms and ladders under 6 feet), are not prohibited by this Section.

6.2 Other prohibited Missions. You will not post a Mission that: (a) involves driving or delivering anything on public roads; (b) involves work at heights that requires fall protection, entry into a permit-required confined space, lockout/tagout of energized equipment, or handling hazardous chemicals beyond ordinary consumer cleaning products used as labeled; (c) involves asbestos, lead abatement, demolition, electrical or gas work, roofing, or work in a trench or excavation; (d) involves security, armed or crowd-control work, or the care of children, the elderly or patients; (e) requires a license the Earner does not hold, or that only an employer can hold for the worker; (f) involves serving alcohol unless the Earner holds the TABC certificate the Mission Brief states and your premises are properly permitted; or (g) is illegal, or would require the Earner to break any law or site rule.

6.3 Enforcement. FUERTIA may block, remove or cancel any Mission that appears to violate Section 5 or this Section 6. If FUERTIA cancels a Mission for that reason after an Earner is confirmed, Section 11.2 applies as if you had cancelled. Asking an Earner to operate prohibited equipment is a material breach of this Agreement.

7. Site safety

7.1 You control the site. You are responsible for the condition of the site and for site hazards. You will provide a reasonably safe place to perform the Mission and will comply with the occupational safety and health laws that apply to you as the party that controls the site.

7.2 What you will do. You will: (a) disclose known hazards in the Mission Brief and at arrival; (b) give the Earner a short site safety and access briefing covering exits, restricted areas and emergency procedures; (c) give the Earner access to drinking water, restrooms and, for outdoor or hot-environment Missions, shade or a cool area for rest; (d) keep any hazardous chemicals the Earner may be exposed to labeled, with safety data sheets available; (e) provide the safety equipment the site rules require that the Earner would not reasonably be expected to bring; and (f) keep a first-aid kit at the site.

7.3 Incidents. In an emergency, call 911 first. Report any injury, property damage or safety incident involving a Mission to FUERTIA in the App or at office@getrobur.com within 24 hours. You will keep any incident records and preserve relevant video or other evidence for at least 1 year.

7.4 The Earner may refuse or stop. The Earner may refuse or stop any task that the Earner believes in good faith is unsafe, illegal, outside the Mission Brief or would require prohibited equipment. You will not retaliate against the Earner. FUERTIA support resolves any amount owed for work done by applying the Mission Contract.

7.5 FUERTIA does not inspect sites. FUERTIA does not inspect, supervise or control any site and does not assume any of your safety duties. FUERTIA's App features (including check-in, the Mission Brief fields and the safety report button) are not a safety program and are not emergency services.

8. The FUERTIA Fee

8.1 Flat fee. The FUERTIA Fee is $24 per Earner per Mission, paid by you. If a Mission has more than one Earner, the FUERTIA Fee applies once for each Earner who Arrives. FUERTIA never deducts the FUERTIA Fee, or anything else, from an Earner's Payout, Rush Bonus or Ride Credit.

8.2 Nothing else. FUERTIA charges no subscription, membership, posting, rush, surcharge, conversion or placement fee. You pay nothing for an open spot that no Earner fills.

8.3 When the FUERTIA Fee is owed. The FUERTIA Fee is owed only if the Earner Arrives, except for the cancellation fee in Section 11.2. If the Earner does not Arrive, you owe no FUERTIA Fee for that Earner, and on a Card Mission FUERTIA releases the authorization for that Earner.

8.4 How the FUERTIA Fee is paid. On a Card Mission, the FUERTIA Fee is included in the card payment for the Mission (Section 9). On a Cash Mission, FUERTIA charges the FUERTIA Fee to your Card on File after the Mission, and only if the Earner Arrived (Section 10). Fee Credits apply first (Section 13).

8.5 Sales tax. The FUERTIA Fee does not include sales tax. FUERTIA will add any sales or use tax that FUERTIA is required to collect on the FUERTIA Fee, and will show it on your invoice. If you are exempt, give FUERTIA a valid Texas exemption certificate before the charge. FUERTIA does not charge sales tax on Payouts, Rush Bonuses or Ride Credits, which are collected for the Earner and are not FUERTIA's charges.

8.6 Fee changes. FUERTIA may change the FUERTIA Fee on at least 30 days' notice under Section 22. A change never applies to a Mission Contract already signed.

9. Card Missions: payments to Earners through FUERTIA

9.1 FUERTIA is the Earner's agent for payment. Each Earner has appointed getrobur LLC as the Earner's limited agent to accept, collect and process, through the Payment Partner, payments you owe the Earner for Card Missions: the Payout, any Rush Bonus earned, any Ride Credit and any cancellation amount.

9.2 Payment to FUERTIA is payment to the Earner. When FUERTIA, through the Payment Partner, successfully receives your payment of an amount you owe an Earner, your obligation to the Earner for that amount is fully satisfied. You bear no risk that FUERTIA or the Payment Partner fails to pay the Earner. FUERTIA does not provide money transmission services to you.

9.3 Authorization and release. You authorize FUERTIA and the Payment Partner to authorize your card for the Payout, Ride Credit, any Rush Bonus and the FUERTIA Fee when you confirm an Earner, and to capture those amounts as shown in the App. Payment is released to the Earner when you confirm the work. If you do not respond, release happens automatically 1 hour after the Earner taps "I'm done" with the full checklist completed, or 8 hours after the Earner taps "I'm done" in any other case. A Rush Bonus is captured only if the Earner checked in by the stated time.

9.4 Disputes before release. If you believe the work was not done as the "done when" criteria describe, open a dispute in the App before release. A dispute pauses release. FUERTIA will review the Mission record (check-in and check-out times, checklist, photos and messages), will release, partly release or refund the collected funds by applying the Mission Contract's "done when" criteria, and will explain its decision in writing. FUERTIA's decision about collected funds does not limit any claim you or the Earner has against the other.

9.5 Chargebacks. You will use the dispute process in Section 9.4 before asking your card issuer to reverse a payment. If you reverse a payment for a Mission that was performed, or after funds were released without a timely dispute, you remain responsible to FUERTIA for the reversed amount and for the Payment Partner's dispute fee, and FUERTIA may charge them to your Card on File.

9.6 Payment Partner terms. Card payments are processed by the Payment Partner. You authorize FUERTIA to share with the Payment Partner the information it needs to process payments.

10. Cash Missions

10.1 You pay the Earner directly. On a Cash Mission, you pay the Earner the full amount stated in the Mission Contract in cash at the site, including any Ride Credit and any Rush Bonus earned. FUERTIA never handles the cash, is not your agent or the Earner's agent for cash, and is not responsible for collecting it.

10.2 Confirming payment. When you pay, the Earner shows a 6-digit code in the App and you enter it to confirm payment. FUERTIA then issues a receipt and records the payment. If no code is entered, FUERTIA records the Mission as completed after 1 hour (full checklist) or 8 hours. That record is not proof of payment, and you still owe any unpaid amount. If the Earner reports being paid less than the agreed amount or not paid, FUERTIA will notify you and may pause your account until the matter is resolved.

10.3 FUERTIA Fee on Cash Missions. FUERTIA charges the FUERTIA Fee to your Card on File after the Mission, only if the Earner Arrived. You must keep a valid Card on File to post Cash Missions, unless FUERTIA has agreed to invoice you under Section 12.3.

10.4 Your responsibility. You remain responsible to the Earner for the full amount of each Cash Mission. FUERTIA keeps the record and may suspend your account under Section 21 if you fail to pay an Earner.

11. Cancellation

11.1 Before confirmation. Before you confirm an Earner, you or the Earner may cancel or withdraw at no cost.

11.2 After confirmation and before Check-in. If you cancel after confirming an Earner and before Check-in, the Earner receives 50% of the Payout (not including any Rush Bonus or Ride Credit), and you pay 50% of the FUERTIA Fee ($12 per Earner). Both amounts are charged to your card, including on Cash Missions, and the Earner's amount is paid to the Earner through the Payment Partner under Section 9.

11.3 Cancellation by the Earner. If the Earner cancels before Check-in, you owe nothing for that Earner.

11.4 After Check-in. After Check-in, a Mission cannot be cancelled in the App. Contact FUERTIA support, which will resolve the situation by applying the Mission Contract.

12. Billing, unpaid amounts, invoices, PO numbers and ACH

12.1 Card on File. You authorize FUERTIA and the Payment Partner to charge your Card on File for FUERTIA Fees, cancellation amounts, sales tax and any other amount due under this Agreement, when due.

12.2 Posting is blocked while an amount is unpaid. While any FUERTIA Fee, cancellation amount, reversed payment or other amount you owe under this Agreement is unpaid, you cannot post Missions or confirm Earners. Missions already confirmed continue under their Mission Contracts. FUERTIA may retry a declined charge and will notify you of any unpaid amount.

12.3 Invoices, PO numbers and ACH on request. If you need monthly invoices, a purchase order number on invoices or payment by ACH, ask in the App ("Need monthly invoices, PO numbers or ACH?") or at office@getrobur.com. FUERTIA may agree in writing, at its discretion, after a credit review. Unless the written arrangement says otherwise: (a) it covers FUERTIA Fees, cancellation fees and sales tax only, and Payouts on Card Missions are still paid by card at confirmation; (b) invoices are due 15 days after the invoice date; and (c) a purchase order number is for your reference, and terms printed on your purchase order do not apply.

12.4 Late amounts. Amounts invoiced under Section 12.3 and not paid when due bear interest at the lesser of 1% per month or the highest rate the law allows, from the due date until paid. FUERTIA will never charge or collect interest above the maximum lawful rate. Any excess collected will be credited or refunded. You will also pay reasonable costs of collection, including attorneys' fees, to the extent the law allows.

12.5 Billing disputes. Tell FUERTIA in writing within 60 days after a charge or invoice if you believe it is wrong. FUERTIA will review it in good faith. You must pay any undisputed part when due.

13. Referral credits and the founding offer

13.1 Business referral credits. If a business you refer opens a new FUERTIA business account using your referral link or code, and completes its first paid Mission, FUERTIA will issue: (a) a $48 Fee Credit to the new business; and (b) a $24 Fee Credit to you. A "paid Mission" is a Mission that was completed and for which the FUERTIA Fee was paid in full. FUERTIA (not any user) funds these credits.

13.2 Conditions. Fee Credits: (a) can be used only to pay FUERTIA Fees (including the cancellation fee), and never to pay an Earner, sales tax or any other amount; (b) have no cash value and cannot be redeemed for cash, refunded or exchanged; (c) are non-transferable and cannot be sold, assigned or combined across accounts; and (d) expire 12 months after the date they are issued. Unused credit is applied automatically to your next FUERTIA Fees, oldest first. Sales tax, if any, is calculated on the FUERTIA Fee after the credit, as the law requires.

13.3 Eligibility and anti-fraud. A new business qualifies only if it is a different legal entity (with a different EIN) that has never had a FUERTIA account, and is not under common ownership or control with the referring Business. Self-referrals, referrals between related entities, referrals made through spam or misleading statements, and paid Missions created only to earn a credit (including Missions with a related or colluding Earner) do not qualify. FUERTIA may withhold, reverse or cancel any Fee Credit obtained in violation of this Section, and may close the referral benefit for any account that abuses it.

13.4 Program changes. FUERTIA may change or end the referral program for future referrals on 30 days' notice. Fee Credits already issued remain usable until they expire, unless they were obtained in violation of Section 13.3.

13.5 Founding offer. While FUERTIA offers it, a new Business account receives 3 Fee Credits when the account is opened, each covering the FUERTIA Fee for one Earner on one Mission. Sections 13.2 and 13.3 apply to these credits (one founding offer per legal entity and EIN). FUERTIA may end the founding offer for new accounts at any time; credits already issued remain usable until they expire.

13.6 No prepaid balance. FUERTIA does not sell prepaid credit or accept advance deposits. Each Mission is paid when it is used, by card (Section 9) or in cash (Section 10).

14. Taxes and information returns

14.1 You buy the Earner's services. You are the party that buys and pays for each Earner's services under the Mission Contract. On Card Missions you pay through FUERTIA, as the Earner's payment-collection agent. On Cash Missions you pay the Earner directly. FUERTIA does not buy the Earner's services and does not pay Earners from its own funds (except FUERTIA's own referral rewards).

14.2 Cash Missions. On Cash Missions you are the payer and are responsible for any information return the law requires you to file for the amounts you paid an Earner, such as Form 1099-NEC, and for collecting any Form W-9 you need. FUERTIA keeps the payment record and makes a yearly payment summary available to you and to each Earner. If you need an Earner's Form W-9, your Owner can request it in the App for a year in which you paid that Earner in cash. The App asks the Earner whether to share it. If the Earner agrees, FUERTIA delivers the Form W-9 the Earner submitted to the Payment Partner once to your Owner, through a link that expires; FUERTIA does not keep a copy after delivery. If the Earner declines, FUERTIA may disable further Cash Missions between you and that Earner. Card Missions are not affected. You will keep any Form W-9 you receive secure, using reasonable administrative, technical and physical safeguards, use it only to file information returns, and not disclose it except as the law requires. Section 17.1(g) applies to any misuse, unauthorized disclosure or loss of a Form W-9 delivered to you.

14.3 Card Missions. Tax forms (if applicable) are provided through our payment partners. FUERTIA does not give tax advice. Ask your own tax advisor about any reporting obligation you may have for card payments.

14.4 Your own taxes. You are responsible for your own taxes, and for any sales, use or other tax on what you purchase from Earners. Section 8.5 covers sales tax on the FUERTIA Fee.

14.5 No withholding. Earners are independent contractors. You will not withhold payroll taxes from, or issue Form W-2 to, an Earner for a Mission. If you believe the law requires you to withhold from a payment, tell FUERTIA before the Mission is confirmed.

15. INSURANCE

15.1 FUERTIA provides no insurance. FUERTIA does not provide any insurance for you, for Earners or for any Mission, and does not run background checks.

15.2 Your required coverage. While you have an active Business account, you will maintain, with insurers authorized to do business in Texas (or eligible surplus-lines insurers), commercial general liability (CGL) insurance with limits of at least $1,000,000 per occurrence and $2,000,000 general aggregate, covering bodily injury, property damage and personal and advertising injury arising from your premises and operations. If alcohol is served at a Mission site, you will also maintain any liquor liability coverage that your permits, leases or the law require. Your policy should not exclude bodily injury to independent contractors at your premises. If it does, you must tell FUERTIA when you upload your COI.

15.3 Three Missions on your attestation. Before FUERTIA has received and accepted your COI, you may post up to three (3) Missions if your Owner confirms in the App that you carry the coverage in Section 15.2. FUERTIA will not let you post a fourth Mission until you upload a COI and FUERTIA accepts it. If your confirmation is untrue or the coverage lapses, you will indemnify FUERTIA under Section 17.1(f) for any resulting loss. FUERTIA's acceptance of a COI is not a confirmation that coverage exists or applies, and FUERTIA has no duty to verify your coverage.

15.4 Additional insured (recommended). FUERTIA recommends that you name getrobur LLC as an additional insured on your CGL policy, on a primary and non-contributory basis, with a waiver of subrogation in its favor. This is optional. If you do so, the endorsement will be shown on your COI.

15.5 Workers' compensation attestation. When you first post, your Owner will confirm in the App whether you are a subscriber to Texas workers' compensation insurance. This confirmation does not mean that any Earner is your employee or is covered by your policy.

15.6 Renewal and notice. You will upload a renewal COI before your current one expires, and will tell FUERTIA within 10 days if your required coverage is cancelled or reduced. FUERTIA may pause posting while your COI is expired.

16. Data, confidentiality and records

16.1 Earner information. You will use Earner information you receive through the App (such as name, profile, photos, ratings and contact details) only to perform, pay for and document the Mission, to resolve disputes and to comply with law. You will keep it confidential and secure, will not sell it or use it for marketing, and will not contact an Earner through the App for any other purpose. Earners' ID images, dates of birth and tax identification numbers are never shown to you, except a Form W-9 that an Earner chooses to share under Section 14.2, which you will protect as the law requires.

16.2 Your content. You grant FUERTIA a non-exclusive, royalty-free licence to host, copy, display and process the Mission Briefs, photos, messages and other content you submit, only to operate, secure and improve the App, to keep the contract and payment record, and to comply with law. You represent that you have the right to submit that content.

16.3 FUERTIA's use of data. FUERTIA handles personal information as described in its Privacy Policy and does not sell personal information. FUERTIA may create aggregated or de-identified statistics that do not identify you or any individual, and may use them for any lawful purpose. FUERTIA will not name you publicly as a customer without your consent.

16.4 Contract records. Every signed Mission Contract has a SHA-256 fingerprint. Anyone holding a copy can check it at getrobur.com/verify. You can export your signed Mission Contracts, receipts and invoices in the App. FUERTIA keeps each signed Mission Contract, with its signature evidence, for 7 years after the Mission ends, and the record of your acceptance of this Agreement for 7 years after your account closes, or longer if the law or a legal hold requires.

16.5 Confidentiality. Each party will keep confidential the other's non-public business information received under this Agreement and use it only for this Agreement. This does not apply to information that is public, already known, independently developed or lawfully received from someone else, or that the law requires to be disclosed. Nothing in this Agreement prevents any Earner from discussing the Earner's own pay or Mission conditions or from reporting to any government agency.

17. INDEMNITY

17.1 YOU WILL DEFEND, INDEMNIFY AND HOLD HARMLESS FUERTIA and its members, managers, officers and agents against third-party claims, and the resulting losses, damages, fines, penalties, costs and reasonable attorneys' fees, to the extent arising from:

  • (a) the condition of any site you own, lease or control, or your breach of Section 7;
  • (b) your breach of Section 5 (results, not methods), including any claim that FUERTIA is an employer or joint employer of an Earner to the extent the claim is based on your direction or control of the Earner;
  • (c) your breach of Section 6, including asking or allowing an Earner to operate prohibited equipment;
  • (d) your failure to pay an Earner on a Cash Mission, or your breach of Section 14;
  • (e) your negligence, willful misconduct or violation of law, or that of your personnel or Requesters;
  • (f) an untrue insurance confirmation under Section 15.3, or any lapse in the coverage required by Section 15.2; or
  • (g) any misuse, unauthorized disclosure or loss of a Form W-9 (or the information on it) delivered to you under Section 14.2, including any resulting claim under data-security, identity-theft or privacy laws, by you, your personnel or Requesters, or anyone who obtained it from you.

17.2 FUERTIA WILL DEFEND, INDEMNIFY AND HOLD HARMLESS YOU against third-party claims, and the resulting losses, costs and reasonable attorneys' fees, to the extent arising from: (a) FUERTIA's failure to remit to an Earner funds that FUERTIA collected from you for a Card Mission; (b) a security breach of FUERTIA's systems; (c) a claim that the App, as provided by FUERTIA, infringes a third party's intellectual property rights; or (d) FUERTIA's gross negligence, willful misconduct or fraud.

17.3 NEITHER PARTY INDEMNIFIES THE OTHER FOR THE OTHER PARTY'S OWN NEGLIGENCE. Where a loss is caused partly by each party, each party's indemnity obligation is limited to its proportionate share of fault.

17.4 Procedure. The indemnified party must give prompt written notice of the claim (a delay excuses the indemnifying party only to the extent it is prejudiced), allow the indemnifying party to control the defense with counsel reasonably acceptable to the indemnified party, and cooperate reasonably at the indemnifying party's expense. The indemnified party may participate with its own counsel at its own cost. No settlement may admit fault for, or impose an obligation on, the indemnified party without its written consent.

18. DISCLAIMERS AND LIMITATION OF LIABILITY

18.1 DISCLAIMERS. EXCEPT AS THIS AGREEMENT EXPRESSLY STATES, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE". FUERTIA MAKES NO PROMISE THAT ANY EARNER WILL REQUEST, ACCEPT, ARRIVE FOR OR COMPLETE ANY MISSION, OR ABOUT THE QUALITY OF ANY EARNER'S WORK, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. FUERTIA'S IDENTITY VERIFICATION CONFIRMS ONLY WHAT THE EARNER AGREEMENT DESCRIBES (A GOVERNMENT ID AND AGE 18 OR OVER). IT IS NOT A BACKGROUND CHECK. FUERTIA IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ANY EARNER, EXCEPT AS THIS AGREEMENT EXPRESSLY PROVIDES.

18.2 EXCLUSION OF CERTAIN DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST REVENUE, ARISING OUT OF THIS AGREEMENT OR THE APP.

18.3 CAP. TO THE FULLEST EXTENT PERMITTED BY LAW, FUERTIA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THIS AGREEMENT OR THE APP IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE FUERTIA FEES YOU PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) $1,000.

18.4 WHAT THIS SECTION DOES NOT LIMIT. SECTIONS 18.2 AND 18.3 DO NOT LIMIT: (a) FUERTIA'S OBLIGATION TO REMIT TO EARNERS FUNDS IT COLLECTED FROM YOU, OR ITS OBLIGATIONS UNDER SECTION 9.2; (b) YOUR OBLIGATION TO PAY AMOUNTS DUE UNDER THIS AGREEMENT OR ANY MISSION CONTRACT; (c) EITHER PARTY'S INDEMNITY OBLIGATIONS UNDER SECTION 17; (d) LIABILITY FOR BODILY INJURY OR DEATH CAUSED BY A PARTY'S NEGLIGENCE; (e) LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD; OR (f) LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING ANY RIGHT UNDER THE TEXAS DECEPTIVE TRADE PRACTICES–CONSUMER PROTECTION ACT THAT CANNOT BE WAIVED.

19. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND FUERTIA TO RESOLVE MOST DISPUTES IN INDIVIDUAL ARBITRATION, NOT IN COURT AND NOT IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS (SECTION 19.11).

19.1 Informal resolution first. Before starting an arbitration or a small-claims case, the party with a claim must send a written notice to the other party. The notice must include the claimant's name and contact information, a description of the claim and the relief requested, and it must be signed by the claimant personally. Notices go to office@getrobur.com for FUERTIA, or to the email on your account for you. For 30 days after the notice, the parties will try in good faith to resolve the claim, including by a phone or video call if either party asks. Statutes of limitations and filing deadlines are tolled during this period.

19.2 Agreement to arbitrate. Except as Sections 19.7 and 19.13 provide, any dispute, claim or controversy between you and FUERTIA will be resolved by final and binding arbitration on an individual basis. This includes claims against FUERTIA's members, managers, officers and agents. It covers claims arising out of or relating to this Agreement, any Mission, the App, payments, your account, or the nature of your relationship with FUERTIA (including any claim that you are or were an employee), whether based on contract, statute, tort or any other legal theory, and whether the claim arose before or after the Effective Date.

19.3 Governing arbitration law. The Federal Arbitration Act, 9 U.S.C. §1 et seq. (the "FAA"), governs this Section. If a court decides that the FAA does not apply to you or to a claim, including under the transportation-worker exemption in 9 U.S.C. §1, the Texas Arbitration Act, Tex. Civ. Prac. & Rem. Code ch. 171 (the "TAA"), governs instead. If neither the FAA nor the TAA permits arbitration of a particular claim (for example, a personal-injury claim excluded by Tex. Civ. Prac. & Rem. Code §171.002), that claim will be decided only in a state or federal court located in Dallas County, Texas. Section 19.8 will still apply to that claim to the fullest extent permitted by law.

19.4 Administrator and rules. The American Arbitration Association ("AAA") will administer the arbitration under the AAA rules that the AAA determines apply. Where applicable, this includes the AAA Mass Arbitration Supplementary Rules, as modified by this Section. The rules are available at adr.org. If this Section conflicts with those rules, this Section controls to the extent the AAA permits. If the AAA cannot or will not administer the arbitration, a court will appoint an arbitrator under 9 U.S.C. §5 or Tex. Civ. Prac. & Rem. Code §171.041, and that arbitrator will apply this Section.

19.5 Fees. If you start an arbitration, you will pay no more of the AAA filing fee than the fee you would pay to file the same claim in a court that would have jurisdiction. FUERTIA will pay all other AAA filing, administrative and hearing fees and the arbitrator's compensation. Each party pays its own attorneys' fees and costs, unless the arbitrator awards them under applicable law as a court could. FUERTIA will not seek its attorneys' fees from you unless the arbitrator finds your claim frivolous under the standard of Federal Rule of Civil Procedure 11(b).

19.6 Hearing and award. Hearings will take place by video. If either party requests an in-person hearing and the arbitrator agrees, it will take place in the county where you live, or in Dallas County, Texas, if you live outside the United States or choose Dallas County. For claims under $10,000, you may choose a documents-only arbitration. The arbitrator may award any individual relief a court could award, including declaratory or injunctive relief. That relief may be awarded only in favor of the individual claimant and only to the extent necessary to provide relief on that claimant's individual claim. The arbitrator will issue a written, reasoned award.

19.7 Small claims. Either party may instead bring an individual claim in a Texas justice court (small claims) in the county where you live or in Dallas County, if the claim is within that court's jurisdiction and remains an individual claim.

19.8 CLASS, COLLECTIVE AND REPRESENTATIVE ACTION WAIVER. YOU AND FUERTIA MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY BRING CLAIMS AS A PLAINTIFF, CLASS MEMBER OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person, except as Section 19.10 provides. The arbitrator also may not preside over any form of class, collective or representative proceeding or award relief to anyone who is not a party. Severability: If a court decides by a final judgment, after any appeals, that this Section 19.8 is unenforceable as to a particular claim or request for relief, then only that claim or request is severed from the arbitration. It will be decided in a state or federal court in Dallas County, Texas, after the individual arbitration of all other claims is complete, and it will never proceed in class, collective or representative arbitration.

19.9 Who decides. The arbitrator decides all disputes about the interpretation, applicability, scope, formation, validity or enforceability of this Section, including any claim that it is unconscionable, illusory or void. Exceptions: only a court may decide: (a) the scope, validity, enforceability and severability of Section 19.8; (b) whether Section 19.10 applies and whether it is enforceable, and any dispute about how it is administered; (c) whether you validly opted out under Section 19.11; and (d) any question a court must decide under applicable law, such as whether 9 U.S.C. §1 applies.

19.10 Mass filings. This Section 19.10 applies if 25 or more demands for arbitration or notices under Section 19.1 that raise similar claims are submitted against FUERTIA by the same or coordinated counsel or organizations within any 180-day period (a "Mass Filing").

  • (a) Each claimant must first satisfy Section 19.1 individually.
  • (b) Bellwether stage. Counsel for the claimants and FUERTIA will each select 10 claims (20 in total) to proceed first in individual arbitrations. Each of these will be heard by a different arbitrator unless the parties agree otherwise. All other claims will not be filed with, or will be held in abeyance by, the AAA. No AAA fees will be assessed for them until the bellwether stage ends.
  • (c) Mediation. Within 60 days after the last bellwether award, the parties will mediate all remaining claims globally. FUERTIA will pay the mediator's fees.
  • (d) Batches. If claims remain unresolved after mediation, they will proceed in batches of up to 50 claims. Each batch will be heard by one arbitrator, who will issue an individual award for each claimant. FUERTIA will pay the AAA fees for each batch as it is filed.
  • (e) Statutes of limitations and filing deadlines for each claimant are tolled from the date that claimant's notice under Section 19.1 is submitted until that claimant's claim is filed or proceeds under this Section 19.10.
  • (f) A court in Dallas County, Texas, may enforce this Section 19.10, including by injunction against non-compliant filings or fee assessments.

19.11 Your right to opt out. You may opt out of this Section 19 by emailing office@getrobur.com within 30 days after you first accept this Agreement. Your email must include your name, the email or phone number on your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of this Agreement or your use of the App. An opt-out you made under an earlier version of this Agreement remains effective.

19.12 Changes to this Section. FUERTIA may change this Section 19 only with at least 30 days' advance notice. A change applies only to claims that arise after it takes effect. It never applies to a claim that arose earlier, or of which FUERTIA had notice before the change took effect. You may reject a change to this Section by emailing office@getrobur.com within 30 days after the notice. If you do, the prior version continues to apply to you.

19.13 Claims not covered. This Section does not apply to: (a) a dispute you elect to bring in court under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, 9 U.S.C. §§401–402; (b) any claim that applicable law does not permit to be subject to a pre-dispute arbitration agreement; or (c) a request to a court for temporary injunctive relief to preserve the status quo pending arbitration. Nothing in this Section prevents you from filing a charge or complaint with, or participating in an investigation by, any government agency.

19.14 This Section 19 survives the end of this Agreement and the closing of your account.

20. Electronic records, electronic signatures and signature evidence

20.1 Consent to electronic dealings. You agree to sign this Agreement and every Mission Contract electronically, and to receive agreements, notices, receipts, invoices and other records electronically in the App or by email. An electronic signature by your Owner has the same effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.) and the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code ch. 322).

20.2 What you need. You need a smartphone or computer with a current web browser, an internet connection, an email address on your account and the ability to view and save web pages or PDF files. You may download your signed records at any time, and may ask for a paper copy free of charge at office@getrobur.com. You may withdraw consent to electronic dealings by emailing office@getrobur.com. Because the App works only electronically, withdrawing consent closes your account for future Missions. It does not affect records already signed or amounts already owed.

20.3 How the Owner signs. The Owner signs by typing their name (or reviewing a name pre-filled under Section 4.7), confirming their authority to sign for the Business and tapping Sign while logged in.

20.4 What FUERTIA records. For each signature, FUERTIA records: (a) the name typed, or pre-filled and confirmed; (b) the method: typed or pre-filled; (c) the date and time; (d) the IP address and the device's browser user agent; (e) the account the signer was logged in to; (f) the document version code; and (g) a SHA-256 fingerprint of the exact text shown. You agree that this procedure is a commercially reasonable way to attribute an electronic signature to your Owner and to the Business.

21. Suspension and termination

21.1 Your right to close. You may close your account at any time in the App or by email. Closing does not cancel amounts owed or Mission Contracts already confirmed.

21.2 FUERTIA's right to suspend. FUERTIA may restrict or suspend your account: (a) immediately, if there is a credible safety risk, suspected fraud, a request to operate prohibited equipment, a report that you failed to pay an Earner, an unpaid amount (Section 12.2), an expired COI (Section 15.6), or a legal or Payment Partner requirement; or (b) for any other material breach, after written notice describing the breach and at least 10 days to cure it, if it can be cured.

21.3 Notice and appeal. For an immediate suspension, FUERTIA will send you written notice of the reason within 2 business days. You may appeal any restriction, suspension or termination within 30 days by replying in the App or emailing office@getrobur.com. A person will review the appeal and give you a written decision within 14 days.

21.4 Termination. Either party may end this Agreement on 30 days' written notice. FUERTIA may end it sooner for a material breach that is not cured under Section 21.2, or if FUERTIA stops operating the App in Texas.

21.5 Effect. Missions already confirmed remain governed by their Mission Contracts. Sections 5.2(m), 9 (for funds already collected), 10.4, 12, 14, 16, 17, 18, 19, 20, 23 and 25 survive.

22. Changes to this Agreement

22.1 FUERTIA may change this Agreement by giving at least 30 days' notice in the App and by email to the Owner. The notice will summarize what is changing. If you post or confirm a Mission after the change takes effect, you accept the change. If you do not agree, you may close your account before the change takes effect. For a material change, FUERTIA may also ask the Owner to accept the new version in the App.

22.2 A change never applies to a Mission Contract already signed by both parties, and never increases an amount already owed. Changes to Section 19 are governed by Section 19.12.

22.3 If a change is required by law, FUERTIA may make it effective sooner, and will give notice as soon as reasonably possible.

23. Governing law and venue

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and by applicable federal law, including the FAA. Subject to Section 19, any court proceeding will take place only in a state or federal court located in Dallas County, Texas, and both parties consent to that court's jurisdiction.

24. Notices

FUERTIA may give you notice in the App or by email to the Owner's email on your account. You may give FUERTIA notice by email to office@getrobur.com, or by mail to getrobur LLC, 8 The Green, STE B, Dover, DE 19901. A notice by email is effective when sent, unless the sender receives a delivery-failure message.

25. General

25.1 Entire agreement. This Agreement, each Mission Contract you sign, the Privacy Policy and the referral terms shown in the App are the entire agreement between you and FUERTIA about their subject. This Agreement replaces the MSA and all earlier Business terms for Missions confirmed on or after the Effective Date. Terms on any purchase order, vendor form or portal you use do not apply, even if FUERTIA accepts or acknowledges it.

25.2 Relationship. FUERTIA and you are independent contracting parties. FUERTIA is not your agent, except that it acts as each Earner's limited payment-collection agent under Section 9.

25.3 Assignment. You may not assign this Agreement without FUERTIA's written consent. FUERTIA may assign it to a successor to its business, with notice to you.

25.4 Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as a natural disaster, severe weather, a power or internet outage or an act of government. This does not excuse payment of amounts already owed.

25.5 Severability; no waiver. If any provision is unenforceable, the rest remains in effect (subject to Section 19.8). Failure to enforce a provision is not a waiver.

25.6 Third-party beneficiaries. Each Earner may enforce Sections 5.2, 6, 7.4, 9.2 and 10.1 as to Missions with that Earner. There are no other third-party beneficiaries.

25.7 Headings and plain-language summaries are for convenience only.

26. Language

This Agreement is written in English. FUERTIA provides a Spanish translation for convenience. If the two versions differ, the English version controls. Estos Términos están redactados en inglés. FUERTIA ofrece una traducción al español por conveniencia. Si las versiones difieren, prevalece la versión en inglés.

Acceptance. By typing your name, confirming that you are authorized to sign for the Business, and tapping Sign, you confirm that you have read this Agreement, including Section 6 (prohibited equipment), Section 15 (insurance), Section 17 (indemnity), Section 18 (limitation of liability) and Section 19 (arbitration and class waiver, with a 30-day opt-out), and that the Business agrees to it.

getrobur LLC d/b/a FUERTIA accepts this Agreement by making it available in the App and recording your acceptance.
