FUERTIA · Legal

Earner Agreement

(Independent Contractor Agreement)

Key points (plain language). (1) You run your own independent business. FUERTIA is a marketplace and payment record, not your boss. (2) You choose whether to request any Mission, and you decide when and how to do the work within the Mission window. (3) Each Mission is a separate contract between you and the Business, signed by both of you before you are confirmed. (4) You keep 100% of the payout. FUERTIA's fee is paid only by the Business. (5) FUERTIA provides no insurance. You are responsible for your own taxes. Disputes with FUERTIA go to individual arbitration unless you opt out within 30 days (Section 19).

This Agreement is between getrobur LLC, a Delaware limited liability company doing business as FUERTIA ("FUERTIA", "we", "us"), and the individual who accepts it in the FUERTIA app ("you" or the "Earner"). It takes effect when you accept it (the "Effective Date").

1. What this Agreement covers

1.1 FUERTIA operates an online marketplace (the "App", including getrobur.com) where businesses post short, self-contained tasks and independent contractors choose whether to request them. FUERTIA also keeps the contract and payment record and, for card Missions, collects payment as your agent (Section 10).

1.2 FUERTIA does not buy your services and does not perform the Missions. When you do a Mission, you contract directly with the Business through the Mission Contract (Section 8). FUERTIA's role is limited to what this Agreement describes.

1.3 This Agreement governs your relationship with FUERTIA. Each Mission Contract governs that specific Mission between you and the Business. FUERTIA's Privacy Policy explains how we handle personal information.

2. Definitions

  • "Business": a company, organization or individual with a FUERTIA business account that posts Missions. A Business account has one Owner, who posts, pays and signs. It may also have Requesters, who can suggest Missions to the Owner but cannot post, pay or sign.
  • "Mission": a short, self-contained task posted by a Business with a structured brief (the "Mission Brief"). The brief covers the task, the "done when" criteria, site, on-site contact, arrival notes, what to wear and physical demands. A Mission must start within 4 hours after it is posted and lasts no more than 4 hours. Longer work requires a separate Mission.
  • "Mission Window": the start time and maximum duration stated in the Mission Contract.
  • "Mission Contract": the per-Mission contract between you and the Business, generated in the App, which both of you sign.
  • "Payout": the fixed base amount the Business agrees to pay you for a Mission.
  • "Rush Bonus": an optional extra amount set by the Business. It is paid to you only if you check in by the time stated in the Mission Contract.
  • "Ride Credit": an optional flat amount set by the Business and paid to you when you check in.
  • "Card Mission": a Mission the Business pays by card through FUERTIA. "Cash Mission": a Mission the Business pays you directly in cash at the site.
  • "FUERTIA Fee": FUERTIA's fee for each Earner on each Mission, paid only by the Business (currently a flat $24).
  • "Payment Partner": Stripe, Inc. and its affiliates (Stripe Connect), or any successor payment processor FUERTIA names in the App.
  • "Check-in" and "Check-out": the App steps at which you confirm that you have arrived at the site and that you have left it.

3. Eligibility and verification

3.1 To use the App as an Earner you must: (a) be at least 18 years old; (b) complete identity verification; (c) be legally authorized to provide services in the United States as an independent business; and (d) hold any license, permit or certificate a Mission requires (for example, a Texas Food Handler card or a TABC seller-server certificate). You confirm that everything you give us is true, and you will keep it current.

3.2 Identity verification works as follows. You either scan the barcode on your government ID, or, if you choose and give the separate Biometric Consent, verify through the Payment Partner's identity service (Stripe Identity) with a photo of your ID and a selfie. Either way, we use your date of birth to confirm that you are 18 or older. We delete ID images after verification, and we ask Stripe to remove the ID photo and selfie from FUERTIA's Stripe account within 30 days. FUERTIA never receives face geometry. We store your legal name and address and only the last four digits of your SSN or ITIN. If you receive card payouts, the Payment Partner collects and stores your full taxpayer identification number during its own onboarding (Section 11).

3.3 Missions are available only where the Mission is performed in Texas. You may live anywhere.

3.4 FUERTIA does not run background checks on Earners or Businesses and makes no promise about any user's identity, conduct or reliability beyond what this Agreement states.

4. Your independent status

4.1 You are an independent contractor in business for yourself. You are not an employee, agent (except as Section 10 provides) or partner of FUERTIA or of any Business. Nothing in this Agreement or in any Mission Contract creates employment, a joint venture or a partnership.

4.2 The parties intend this relationship to be what it is in fact, not only what it is called. The terms below describe how the App actually works:

  • (a) Control. FUERTIA does not supervise, direct or evaluate how you perform any Mission. A Business describes the result it wants ("done when"), the site, the Mission Window and site safety and access rules. You decide the method, sequence and pace of the work.
  • (b) Opportunity for profit or loss. You decide which Missions to request and how many, if any. You also decide which days you make yourself available, how far you travel and how you get there, and whether to use other platforms or your own customers. Your earnings depend on those choices and on your own efficiency and expenses.
  • (c) Investment. You provide and pay for your own phone, data plan, transportation, clothing, protective gear and personal tools (Section 7). You bear your own business expenses. Ride Credit is a flat amount set by the Business. It is not a reimbursement of your actual costs.
  • (d) Skill and initiative. You use your own judgment, experience and skills. Where a Mission requires a certification, you obtain and maintain it yourself.
  • (e) No permanence. Each Mission is a separate, short engagement under its own Mission Contract. Neither you nor FUERTIA has any obligation to offer, request or accept any future Mission.

4.3 You are paid a fixed amount per Mission, set in the Mission Contract. You are not paid by the hour. FUERTIA does not provide you with any employment benefits.

5. Your control: whether, when and how

5.1 Whether. You are never required to request any Mission, to log in, or to be available at any time. Declining or ignoring a Mission has no effect on your account.

5.2 When. You choose which Missions to request. Once confirmed, you decide when to leave, which route to take and how to travel. FUERTIA does not give route or travel instructions and does not penalize late arrival. The App has only two timing consequences. A Rush Bonus, if offered, is paid only if you check in by the stated time. And if you have not checked in 15 minutes after the start, the Business may end that Mission Contract at no cost to either of you; you are then not paid for it (Section 9.5A). Missing a time has no other consequence: it never affects your account by itself.

5.3 How. You decide how to carry out the work within the Mission Brief and the site's safety and access rules. You may use your own methods and equipment (subject to Section 7). You may stop at any time for safety reasons (Section 13).

5.4 Cancelling. Before Check-in you may cancel a confirmed Mission in the App at any time, with no fee or penalty. You will not be paid for a Mission you cancel. Repeatedly failing to appear for confirmed Missions without cancelling in the App may be reviewed under Section 14.

6. No exclusivity; your own business

6.1 You may provide services to anyone, including through other apps and platforms, through your own business, and directly to any Business you meet through FUERTIA. FUERTIA does not restrict you from any other occupation or business and does not require you to accept a minimum number of Missions.

6.2 You may describe yourself as an independent contractor who uses FUERTIA. You may not say that you are employed by, or represent, FUERTIA.

7. Tools and equipment

7.1 You supply your own tools, equipment, clothing and protective gear appropriate to the Mission, as described in the Mission Brief (for example, closed-toe shoes or work gloves). A Business may make site materials available, such as the items being moved, carts, dollies or cleaning supplies. You may decline to use anything you consider unsafe.

7.2 Prohibited equipment. You must not operate, and no Mission may require you to operate, any of the following owned, leased, rented or controlled by a Business: (a) a powered industrial truck (including a forklift, pallet jack with a motor, order picker or similar machine); (b) any motor vehicle; or (c) any other powered equipment or machinery. This includes powered equipment of the kind regulated by OSHA standard 29 C.F.R. §1910.178. If a Business asks you to do this, decline and report it in the App. You will not lose any amount owed to you because you declined. Hand-held tools you bring yourself, and ordinary non-powered site items described in Section 7.1, are not prohibited by this Section.

8. Missions and the Mission Contract

8.1 How a Mission is formed. (a) You see open Missions and choose whether to request one. (b) Before requesting, you review and sign the Mission Contract, which shows the Mission Brief, Mission Window, Payout, any Rush Bonus and Ride Credit, payment method and cancellation terms. (c) The Business signs the same Mission Contract before confirming you. (d) The Mission Contract becomes binding between you and the Business when the Business confirms you. Until then, either of you may withdraw at no cost.

8.2 Frozen terms. The App records the signed terms with a SHA-256 fingerprint. If the Payout, FUERTIA Fee, payment method, time, place or extras change after signing, both of you must sign again before the change takes effect. If you do not re-sign, the change does not apply, and you may withdraw at no cost.

8.3 Repeat Missions. If you do another Mission for the same Business on identical terms, the App may pre-fill your prior signature. The new Mission Contract is binding only after you review it and tap Sign. The App records that the signature was pre-filled (Section 20).

8.4 Doing the work. You may tap "On my way" to share an estimated arrival time. This shares no location coordinates unless you also turn on "Share where I am until I arrive" (Section 15.1). You check in at the site by GPS (within 250 meters) or with a site code. When finished, you tap "I'm done", complete the checklist and may add photos of the completed work. The Business then confirms the work.

8.5 Order of precedence. For the Mission-specific terms (task, done-when criteria, site, Mission Window and amounts), the Mission Contract controls. For everything else between you and FUERTIA, this Agreement controls.

8.6 FUERTIA's role in the Mission Contract. FUERTIA is not a party to the Mission Contract's performance obligations. FUERTIA acts only as (a) recordkeeper of the signed contract and payment records and (b) your limited payment-collection agent for Card Missions (Section 10).

9. Payments

9.1 You receive 100%. FUERTIA never deducts anything from your Payout, Rush Bonus or Ride Credit. The FUERTIA Fee is charged only to the Business.

9.2 Card Missions. The Business's card is authorized when it confirms you. Payment is released to you through the Payment Partner when the Business confirms the work. If the Business does not respond, release happens automatically 1 hour after you tap "I'm done" with the full checklist completed, or 8 hours after you tap "I'm done" in any other case. If either party opens a dispute, release pauses until the dispute is resolved. Timing of the transfer to your bank is set by the Payment Partner.

9.3 Cash Missions. The Business pays you directly in cash at the site. When the Business pays, you show the 6-digit code in the App, and the Business enters it to confirm payment. FUERTIA then issues a receipt and records the payment. FUERTIA never handles the cash and is not responsible for collecting it. If you are paid less than the agreed amount or not at all, report it in the App ("I got less / I wasn't paid"). The Business remains responsible to you for the full amount. FUERTIA will keep the record and may suspend the Business's account under the Business Terms.

9.4 Rush Bonus and Ride Credit. A Rush Bonus is paid to you in full if you check in by the stated time. If you check in later, it is not paid and nothing else happens. A Ride Credit is paid to you in full when you check in. Both are paid the same way as the Payout: through FUERTIA on Card Missions, and in cash by the Business on Cash Missions.

9.5 Cancellation by the Business. Cancellation is free for either side before you are confirmed. If the Business cancels after confirming you and before Check-in, you receive 50% of the Payout (not including the Rush Bonus or Ride Credit). The Business also pays 50% of the FUERTIA Fee. The cancellation amount is charged to the Business's card and paid to you through the Payment Partner, including on Cash Missions. After Check-in, a Mission cannot be cancelled in the App. FUERTIA support resolves the situation by applying the Mission Contract.

9.5A No check-in. If you have not checked in 15 minutes after the start, the Business may end the Mission Contract in the App at no cost: you are not paid, and the Business pays no FUERTIA Fee for you. If neither of you acts, the Mission Contract ends when the Mission Window closes without a check-in. If you were at the site but could not check in, report it in the App; FUERTIA support will review the record under Section 9.6.

9.6 Disputes about a Mission. You or the Business may open a dispute in the App. On Card Missions, you authorize FUERTIA to review the record (check-in and check-out times, checklist, photos and messages) and, applying the Mission Contract's done-when criteria, to release, partly release or refund the collected funds. FUERTIA will explain its decision in writing. FUERTIA's decision about collected funds does not limit any claim you have against the Business.

9.7 Referral rewards. FUERTIA (not any user) pays referral rewards under the referral terms shown in the App. Currently: $25 when an Earner you referred completes a first Mission, and $50 when a Business you referred completes 3 paid Missions. Referral rewards are paid by FUERTIA from its own funds.

9.8 Errors. If an amount is paid to you by mistake, you authorize FUERTIA to correct it through the Payment Partner after giving you notice and an opportunity to respond. FUERTIA will never use this right to recover any amount the Business owes you.

10. APPOINTMENT OF FUERTIA AS YOUR LIMITED PAYMENT-COLLECTION AGENT (CARD MISSIONS)

10.1 Appointment. You appoint FUERTIA as your agent for the limited purpose of accepting, collecting and processing, through the Payment Partner, payments from Businesses to you for Card Missions. These payments include the Payout, Rush Bonus, Ride Credit and any cancellation amount. You direct FUERTIA to collect those payments on your behalf, and FUERTIA accepts the appointment.

10.2 Holding out. You authorize and direct FUERTIA to state to Businesses that FUERTIA accepts payments for Card Missions on your behalf as your agent. FUERTIA will say this in each Mission Contract, on Business payment screens and on receipts. You hold FUERTIA out to the public as accepting those payments on your behalf.

10.3 Payment to FUERTIA is payment to you. When FUERTIA, through the Payment Partner, successfully receives a Business's payment for a Card Mission, that payment is treated as received by you. The Business's obligation to pay you that amount is extinguished to the extent of the amount received. If FUERTIA or the Payment Partner fails to remit funds to you, the Business has no risk of loss, and you will look only to FUERTIA.

10.4 Scope and limits. FUERTIA's agency is limited to Section 10.1, to releasing funds under Sections 9.2 and 9.6, and to correcting errors under Section 9.8. FUERTIA does not provide money transmission services to Businesses, does not take any part of your funds, and has no authority to bind you to any Mission or to settle any claim you have against a Business. The Payment Partner's own terms, which you accept during its onboarding, also apply to your payout account.

10.5 Cash Missions are excluded. On Cash Missions the Business pays you directly. FUERTIA is not your agent for cash and does not receive it.

11. Taxes

11.1 You are responsible for your own federal, state and local taxes on all amounts you receive, including the Payout, Rush Bonus, Ride Credit, cancellation amounts and referral rewards. You are also responsible for any self-employment taxes. FUERTIA does not withhold taxes from your payments unless the law requires it.

11.2 Tax forms (if applicable) are provided through our payment partners. You agree to provide accurate tax information (including a Form W-9 or its electronic equivalent) to FUERTIA and to the Payment Partner when asked.

11.3 Cash Missions. On Cash Missions the Business is the payer and is responsible for any information return (such as Form 1099-NEC) it must file for the amounts it paid you. FUERTIA keeps the payment record and makes a yearly payment summary available to you and to each Business. If a Business needs your Form W-9 for Cash Missions, the App asks whether you want to share it with that Business's Owner. If you agree, FUERTIA delivers the Form W-9 you submitted to the Payment Partner once to that Owner, through a link that expires, and does not keep a copy after delivery. If you decline, Cash Missions with that Business may be disabled. Card Missions are not affected.

11.4 You should get your own tax advice. FUERTIA does not give tax advice.

12. INSURANCE AND WORKERS' COMPENSATION

12.1 FUERTIA provides no insurance for you. FUERTIA does not provide accident, injury, health, disability, liability, auto or any other insurance for Earners. You are responsible for deciding whether to obtain your own coverage, for example occupational accident, general liability or health insurance. A Business's own insurance, if any, is for the Business and may not cover you.

12.2 NO WORKERS' COMPENSATION COVERAGE. BECAUSE YOU ARE AN INDEPENDENT CONTRACTOR, YOU ARE NOT COVERED BY TEXAS WORKERS' COMPENSATION INSURANCE THROUGH FUERTIA. FUERTIA DOES NOT CARRY WORKERS' COMPENSATION INSURANCE THAT COVERS EARNERS. YOU SHOULD NOT ASSUME THAT ANY BUSINESS HAS COVERAGE FOR YOU. If you are injured during a Mission, you will not receive workers' compensation income or medical benefits from FUERTIA. FUERTIA gives this notice so that you can make an informed decision about your own coverage. It is not an admission that you are an employee of anyone. Nothing in this Agreement waives any right you have by law, including any right that cannot be waived before an injury.

13. Safety; your right to refuse and to stop

13.1 Review the Mission Brief, including the physical demands and what to wear, before you request a Mission. Request only Missions you can perform safely.

13.2 You may refuse or stop any task at any time if you believe in good faith that it is unsafe, illegal, outside the Mission Brief, or would require prohibited equipment (Section 7.2). Report it in the App. FUERTIA support will resolve any amount owed for work done by applying the Mission Contract. FUERTIA will not deactivate your account, or count a Business's rating against you, because you refused or stopped work in good faith for these reasons.

13.3 You will follow the site's posted safety and access rules and applicable law, and will not perform any Mission under the influence of alcohol or drugs that impair you.

13.4 In an emergency, call 911 first and then notify FUERTIA through the App.

14. Ratings, account standards, deactivation and appeal

14.1 Ratings. After a Mission, you and the Business may rate each other. Ratings are double-blind: they are revealed when both of you have rated, or after 7 days. Ratings alone never automatically suspend or deactivate your account. A pattern of low ratings may lead to a review under this Section, carried out by a person.

14.2 Grounds. FUERTIA may restrict or deactivate an Earner account only for: (a) fraud, false identity or false information; (b) violence, threats, harassment, discrimination or theft; (c) conduct that creates a serious safety risk; (d) operating prohibited equipment (Section 7.2); (e) repeatedly failing to appear for confirmed Missions without cancelling in the App; (f) a material breach of this Agreement; or (g) a legal requirement, court order or Payment Partner requirement.

14.3 Notice. Before deactivating your account, FUERTIA will send you written notice of the reason and a summary of the information relied on. You will then have 10 days to respond. If there is a credible safety risk, suspected fraud or a legal requirement, FUERTIA may suspend your account immediately. In that case FUERTIA will send you the notice no later than 2 business days after the suspension.

14.4 Appeal. You may appeal any restriction or deactivation within 30 days after notice by replying in the App or emailing office@getrobur.com. A person will review the appeal. Where practicable, that person will not be the one who made the original decision. FUERTIA will give you a written decision within 14 days after receiving your appeal. If the decision is reversed, your account will be restored.

14.5 Amounts owed survive. A restriction or deactivation never cancels any amount owed to you for work you performed, and funds FUERTIA collected for you will be released under Section 9.

14.6 This Section does not limit your rights under Section 19.

15. Data and location

15.1 Location. The App captures your device location only at Check-in and Check-out, to confirm you are within 250 meters of the site. (You may use a site code instead.) The App does not track your location while you travel and never shows a Business a trail of your movements. The optional "On my way" status shares only an estimated arrival time, not your coordinates. Separately, you may choose, for one Mission at a time, to "Share where I am until I arrive": the Business then sees your current position as a single point (never a route), and the sharing ends automatically when you check in, after 90 minutes, or when you turn it off. FUERTIA keeps only the latest point and erases it at check-in. Whether or not you share has no effect on your pay, ratings, eligibility or anything else.

15.2 What Businesses see. A Business you request or are confirmed for sees your profile information as described in the Privacy Policy, plus your check-in and check-out times and the Mission record. Businesses never see your ID images, date of birth or tax identification number, except on a Form W-9 you choose to share under Section 11.3.

15.3 Privacy Policy. FUERTIA handles personal information, including ID verification data, IP addresses and device information, as described in the Privacy Policy. FUERTIA does not sell your personal information.

16. Confidentiality and photos

16.1 Keep confidential any non-public information about a Business that you learn on site and that a reasonable person would understand to be confidential. Use it only to perform the Mission. This duty lasts 2 years after the Mission, or for as long as the information remains a trade secret. Nothing in this Agreement limits you from discussing your own pay or Mission conditions, from reporting possible violations of law to any government agency, or from testifying truthfully.

16.2 Notice under 18 U.S.C. §1833(b). You will not be held criminally or civilly liable under any federal or state trade secret law for disclosing a trade secret in confidence to a government official or to an attorney solely to report or investigate a suspected violation of law, or in a sealed filing in a lawsuit or other proceeding.

16.3 Photos. Photos you add should show only the completed work. They should not show people's faces or confidential documents or screens. You permit FUERTIA and the Business to use those photos only for the Mission record and for resolving disputes.

17. LIMITATION OF LIABILITY

17.1 TO THE FULLEST EXTENT PERMITTED BY LAW, FUERTIA IS NOT LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING OUT OF THIS AGREEMENT OR THE APP. FUERTIA'S TOTAL LIABILITY TO YOU FOR ALL OTHER CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO $1,000.

17.2 THIS SECTION DOES NOT LIMIT: (a) FUERTIA's obligation to remit to you funds it collected as your agent under Section 10; (b) liability for bodily injury or death caused by FUERTIA's negligence; (c) liability for gross negligence, willful misconduct or fraud; (d) liability that cannot be limited under applicable law, including any right under the Texas Deceptive Trade Practices–Consumer Protection Act that cannot be waived; or (e) any right described in Section 12.2.

17.3 FUERTIA is not responsible for the acts or omissions of any Business or other user, except as this Agreement expressly provides.

18. INDEMNITY (MUTUAL AND LIMITED)

18.1 You will defend and indemnify FUERTIA against third-party claims to the extent caused by your fraud, willful misconduct, or knowing violation of law during a Mission.

18.2 FUERTIA will defend and indemnify you against third-party claims to the extent caused by: (a) FUERTIA's fraud, willful misconduct or gross negligence; (b) a security breach of FUERTIA's systems that exposes your personal information; or (c) a claim that the App infringes a third party's intellectual property.

18.3 NEITHER PARTY INDEMNIFIES THE OTHER FOR THE OTHER PARTY'S OWN NEGLIGENCE. You are not required to indemnify FUERTIA for any tax, classification or similar claim about your relationship with FUERTIA. The indemnified party must give prompt notice of the claim, allow the other party to control the defense, and cooperate reasonably. No settlement may impose an obligation on the indemnified party without its consent.

19. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND FUERTIA TO RESOLVE MOST DISPUTES IN INDIVIDUAL ARBITRATION, NOT IN COURT AND NOT IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS (SECTION 19.11).

19.1 Informal resolution first. Before starting an arbitration or a small-claims case, the party with a claim must send a written notice to the other party. The notice must include the claimant's name and contact information, a description of the claim and the relief requested, and it must be signed by the claimant personally. Notices go to office@getrobur.com for FUERTIA, or to the email on your account for you. For 30 days after the notice, the parties will try in good faith to resolve the claim, including by a phone or video call if either party asks. Statutes of limitations and filing deadlines are tolled during this period.

19.2 Agreement to arbitrate. Except as Sections 19.7 and 19.13 provide, any dispute, claim or controversy between you and FUERTIA will be resolved by final and binding arbitration on an individual basis. This includes claims against FUERTIA's members, managers, officers and agents. It covers claims arising out of or relating to this Agreement, any Mission, the App, payments, your account, or the nature of your relationship with FUERTIA (including any claim that you are or were an employee), whether based on contract, statute, tort or any other legal theory, and whether the claim arose before or after the Effective Date.

19.3 Governing arbitration law. The Federal Arbitration Act, 9 U.S.C. §1 et seq. (the "FAA"), governs this Section. If a court decides that the FAA does not apply to you or to a claim, including under the transportation-worker exemption in 9 U.S.C. §1, the Texas Arbitration Act, Tex. Civ. Prac. & Rem. Code ch. 171 (the "TAA"), governs instead. If neither the FAA nor the TAA permits arbitration of a particular claim (for example, a personal-injury claim excluded by Tex. Civ. Prac. & Rem. Code §171.002), that claim will be decided only in a state or federal court located in Dallas County, Texas. Section 19.8 will still apply to that claim to the fullest extent permitted by law.

19.4 Administrator and rules. The American Arbitration Association ("AAA") will administer the arbitration under the AAA rules that the AAA determines apply. Where applicable, this includes the AAA Mass Arbitration Supplementary Rules, as modified by this Section. The rules are available at adr.org. If this Section conflicts with those rules, this Section controls to the extent the AAA permits. If the AAA cannot or will not administer the arbitration, a court will appoint an arbitrator under 9 U.S.C. §5 or Tex. Civ. Prac. & Rem. Code §171.041, and that arbitrator will apply this Section.

19.5 Fees. If you start an arbitration, you will pay no more of the AAA filing fee than the fee you would pay to file the same claim in a court that would have jurisdiction. FUERTIA will pay all other AAA filing, administrative and hearing fees and the arbitrator's compensation. Each party pays its own attorneys' fees and costs, unless the arbitrator awards them under applicable law as a court could. FUERTIA will not seek its attorneys' fees from you unless the arbitrator finds your claim frivolous under the standard of Federal Rule of Civil Procedure 11(b).

19.6 Hearing and award. Hearings will take place by video. If either party requests an in-person hearing and the arbitrator agrees, it will take place in the county where you live, or in Dallas County, Texas, if you live outside the United States or choose Dallas County. For claims under $10,000, you may choose a documents-only arbitration. The arbitrator may award any individual relief a court could award, including declaratory or injunctive relief. That relief may be awarded only in favor of the individual claimant and only to the extent necessary to provide relief on that claimant's individual claim. The arbitrator will issue a written, reasoned award.

19.7 Small claims. Either party may instead bring an individual claim in a Texas justice court (small claims) in the county where you live or in Dallas County, if the claim is within that court's jurisdiction and remains an individual claim.

19.8 CLASS, COLLECTIVE AND REPRESENTATIVE ACTION WAIVER. YOU AND FUERTIA MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY BRING CLAIMS AS A PLAINTIFF, CLASS MEMBER OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person, except as Section 19.10 provides. The arbitrator also may not preside over any form of class, collective or representative proceeding or award relief to anyone who is not a party. Severability: If a court decides by a final judgment, after any appeals, that this Section 19.8 is unenforceable as to a particular claim or request for relief, then only that claim or request is severed from the arbitration. It will be decided in a state or federal court in Dallas County, Texas, after the individual arbitration of all other claims is complete, and it will never proceed in class, collective or representative arbitration.

19.9 Who decides. The arbitrator decides all disputes about the interpretation, applicability, scope, formation, validity or enforceability of this Section, including any claim that it is unconscionable, illusory or void. Exceptions: only a court may decide: (a) the scope, validity, enforceability and severability of Section 19.8; (b) whether Section 19.10 applies and whether it is enforceable, and any dispute about how it is administered; (c) whether you validly opted out under Section 19.11; and (d) any question a court must decide under applicable law, such as whether 9 U.S.C. §1 applies.

19.10 Mass filings. This Section 19.10 applies if 25 or more demands for arbitration or notices under Section 19.1 that raise similar claims are submitted against FUERTIA by the same or coordinated counsel or organizations within any 180-day period (a "Mass Filing").

  • (a) Each claimant must first satisfy Section 19.1 individually.
  • (b) Bellwether stage. Counsel for the claimants and FUERTIA will each select 10 claims (20 in total) to proceed first in individual arbitrations. Each of these will be heard by a different arbitrator unless the parties agree otherwise. All other claims will not be filed with, or will be held in abeyance by, the AAA. No AAA fees will be assessed for them until the bellwether stage ends.
  • (c) Mediation. Within 60 days after the last bellwether award, the parties will mediate all remaining claims globally. FUERTIA will pay the mediator's fees.
  • (d) Batches. If claims remain unresolved after mediation, they will proceed in batches of up to 50 claims. Each batch will be heard by one arbitrator, who will issue an individual award for each claimant. FUERTIA will pay the AAA fees for each batch as it is filed.
  • (e) Statutes of limitations and filing deadlines for each claimant are tolled from the date that claimant's notice under Section 19.1 is submitted until that claimant's claim is filed or proceeds under this Section 19.10.
  • (f) A court in Dallas County, Texas, may enforce this Section 19.10, including by injunction against non-compliant filings or fee assessments.

19.11 Your right to opt out. You may opt out of this Section 19 by emailing office@getrobur.com within 30 days after you first accept this Agreement. Your email must include your name, the email or phone number on your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of this Agreement or your use of the App. An opt-out you made under an earlier version of this Agreement remains effective.

19.12 Changes to this Section. FUERTIA may change this Section 19 only with at least 30 days' advance notice. A change applies only to claims that arise after it takes effect. It never applies to a claim that arose earlier, or of which FUERTIA had notice before the change took effect. You may reject a change to this Section by emailing office@getrobur.com within 30 days after the notice. If you do, the prior version continues to apply to you.

19.13 Claims not covered. This Section does not apply to: (a) a dispute you elect to bring in court under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, 9 U.S.C. §§401–402; (b) any claim that applicable law does not permit to be subject to a pre-dispute arbitration agreement; or (c) a request to a court for temporary injunctive relief to preserve the status quo pending arbitration. Nothing in this Section prevents you from filing a charge or complaint with, or participating in an investigation by, any government agency.

19.14 This Section 19 survives the end of this Agreement and the closing of your account.

20. Electronic records, electronic signatures and signature evidence

20.1 Consent to electronic dealings. You agree to sign this Agreement and every Mission Contract electronically, and to receive agreements, notices, receipts, payment summaries and other records electronically in the App or by email. Your electronic signature has the same effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.) and the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code ch. 322).

20.2 What you need. You need a smartphone or computer with a current web browser, an internet connection, an email address or phone number on your account, and the ability to view and save web pages or PDF files. Keep your email and phone current in the App.

20.3 Paper copies and withdrawing consent. You may download your signed agreements in the App at any time. You may also ask for a paper copy, free of charge, by emailing office@getrobur.com. You may withdraw your consent to electronic dealings by emailing office@getrobur.com. Because the App works only electronically, withdrawing consent closes your Earner account for future Missions. It does not affect records already signed or amounts owed to you.

20.4 How you sign. You sign by typing your name (or reviewing a name pre-filled under Section 8.3) and tapping Sign while logged in to your account.

20.5 What FUERTIA records when you sign. For each signature, FUERTIA records:

  • (a) the name typed, or pre-filled and confirmed;
  • (b) the method: typed or pre-filled;
  • (c) the date and time;
  • (d) the IP address and the device's browser user agent;
  • (e) the account you were logged in to;
  • (f) the document version code; and
  • (g) a SHA-256 fingerprint of the exact text shown to you.

These records, together with the signed text, are the evidence that the signature is yours. You agree that this procedure is a commercially reasonable way to attribute an electronic signature to you.

20.6 Verification and copies. Every signed contract has a SHA-256 fingerprint. Anyone holding a copy can check it at getrobur.com/verify. You can export or download your signed Mission Contracts in the App. FUERTIA keeps each signed Mission Contract, with its signature evidence, for 7 years after the Mission ends, and the record of your acceptance of this Agreement for 7 years after your account closes, or longer if the law or a legal hold requires.

20.7 Keep your login secure. Do not share your login or let anyone else sign in your name. Tell FUERTIA immediately if you believe someone has accessed your account.

21. Changes to this Agreement

21.1 FUERTIA may change this Agreement by giving you at least 30 days' notice in the App and by email. The notice will summarize what is changing. If you keep using the App to request or perform Missions after the change takes effect, you accept the change. If you do not agree, you may close your account before the change takes effect, and the prior version will continue to govern any Mission already confirmed. For a material change, FUERTIA may also ask you to accept the new version in the App.

21.2 A change never applies to a Mission Contract already signed by both parties. It also never changes amounts earned before the change takes effect. Changes to Section 19 are governed by Section 19.12.

21.3 If a change is required by law, FUERTIA may make it effective sooner. In that case FUERTIA will give notice as soon as reasonably possible.

22. Term and termination

22.1 This Agreement continues until either party ends it. You may close your account at any time in the App or by email. FUERTIA may end this Agreement only under Section 14, or on at least 30 days' notice if FUERTIA stops operating the App in Texas.

22.2 A Mission already confirmed at termination is governed by its Mission Contract. Sections 9 (for amounts owed), 10, 11, 12, 16, 17, 18, 19, 20.6, 23 and 25 survive.

23. Governing law and venue

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and by applicable federal law, including the FAA. Subject to Section 19, any court proceeding will take place only in a state or federal court located in Dallas County, Texas, and both parties consent to that court's jurisdiction.

24. Notices

FUERTIA may give you notice in the App, by email or by text message to the contact details on your account. You may give FUERTIA notice by email to office@getrobur.com, or by mail to getrobur LLC, 8 The Green, STE B, Dover, DE 19901. A notice by email is effective when sent, unless the sender receives a delivery-failure message.

25. General

25.1 Entire agreement. This Agreement, each Mission Contract you sign, the Privacy Policy and the referral terms shown in the App are the entire agreement between you and FUERTIA about their subject. They replace all earlier versions, including ROBUR-ICA-2026.09-REV3, for Missions confirmed on or after the Effective Date.

25.2 Assignment. You may not assign this Agreement. FUERTIA may assign it to a successor to its business, with notice to you.

25.3 Severability; no waiver. If any provision is unenforceable, the rest remains in effect (subject to Section 19.8). Failure to enforce a provision is not a waiver.

25.4 No third-party beneficiaries, except that each Business may enforce Section 10.3 as to payments it made.

25.5 Headings and plain-language summaries are for convenience only.

26. Language

This Agreement is written in English. FUERTIA provides a Spanish translation for convenience. If the two versions differ, the English version controls. Este Acuerdo está redactado en inglés. FUERTIA ofrece una traducción al español por conveniencia. Si las versiones difieren, prevalece la versión en inglés.

Acceptance. By typing your name and tapping Sign, you confirm that you have read this Agreement, including Section 12 (no insurance or workers' compensation), Section 17 (limitation of liability), Section 18 (indemnity) and Section 19 (arbitration and class waiver, with a 30-day opt-out), and that you agree to it.

getrobur LLC d/b/a FUERTIA accepts this Agreement by making it available in the App and recording your acceptance.
